END USER LICENSE AGREEMENT (EULA)

This End User Licence Agreement (“Agreement”) is a legally binding agreement between you (“User”, “you”, “your”) and CHAAMO LTD, trading as CHAAMO (“CHAAMO”, “we”, “us”, “our”).

This Agreement governs your access to and use of the CHAAMO mobile application, website, and all related services, features, content, and tools (collectively, the “Platform”).

By downloading, accessing, or using the Platform, you confirm that you have read, understood, and agree to be bound by this Agreement.

1. Eligibility

You must be at least eighteen (18) years old and have the legal capacity to enter into this Agreement. By using the Platform, you represent and warrant that you meet these requirements.

If you do not agree to this Agreement, you must not use the Platform.

2. Platform Role & Marketplace Disclaimer

CHAAMO operates solely as a technology marketplace platform that enables users to list, buy, and sell items.

CHAAMO is not a buyer or seller, is not a party to any transaction, and does not act as an agent for buyers or sellers.

CHAAMO does not:
• Own, inspect, manufacture, store, or ship items
• Verify authenticity, legality, or condition
• Guarantee quality, safety, or delivery
• Act as an insurer, escrow provider, or payment service provider

All transactions are conducted directly between users. Users assume all risks associated with buying and selling through the Platform.

3. Licence Grant

CHAAMO grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform for personal, non-commercial use in accordance with this Agreement.

You must not:
• Copy, modify, or distribute the Platform
• Reverse engineer or attempt to extract source code
• Circumvent security or access controls
• Sell, sublicense, or commercially exploit the Platform

This Agreement does not override third-party terms, such as Apple Media Services Terms and Conditions or Google Play Terms of Service, Paypal or SendCloud. Users must ensure compliance with all third-party policies.

4. User Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activity conducted through your account.

You must provide accurate and complete information.
CHAAMO may suspend or terminate accounts at any time for suspected fraud, abuse, or breach of this Agreement.

5. User Content

You retain ownership of content you upload but grant CHAAMO a worldwide, royalty-free, non-exclusive licence to use, display, reproduce, and distribute such content for operational, legal, and promotional purposes.

You must not upload content that is unlawful, misleading, defamatory, infringing, or harmful.

6. Seller Obligations

If you act as a seller, you represent and warrant that:

• You own or are legally authorised to sell the listed items
• Listings are accurate, complete, and not misleading
• Items are genuine, lawful, and not counterfeit
• Items are packaged securely and appropriately
• You comply with all applicable laws, including tax, VAT, customs, and consumer protection laws

Sellers are solely responsible for their listings, packaging, dispatch, and compliance.

7. Buyer Obligations

If you act as a buyer, you agree to:

• Provide accurate delivery information
• Inspect items promptly upon delivery
• Act in good faith in disputes
• Comply with all applicable laws and customs requirements

8. Prohibited Items & Conduct

Users must not list, sell, or purchase:

• Counterfeit or stolen goods
• Illegal or restricted items
• Dangerous or hazardous materials
• Items that infringe intellectual property rights
• Hate, abusive, or unlawful content

CHAAMO may remove prohibited listings and take enforcement action without notice.

9. Payments, Fees & Third-Party Services

Payments are processed by third-party payment providers, including PayPal. CHAAMO does not control, operate, or guarantee the services provided by third-party payment processors.

CHAAMO is not responsible for:

  • payment failures or processing delays;

  • chargebacks, reversals, or disputes initiated through third-party payment providers;

  • decisions made by payment processors; or

  • courier losses or delivery delays.

Fees

  • Members: Buyer Protection is included with membership.

  • Non-members: £1.00 Buyer Protection fee per transaction.

  • Platform Fee: A base platform fee of £0.30 per transaction plus a variable transaction fee (2.9% for UK transactions and 4.9% for international transactions), charged to support secure payments, transaction processing, fraud prevention, and platform infrastructure.

All applicable fees are displayed during checkout. Prices include VAT where applicable.

10. Order Fulfilment

By participating in auctions or using the “Buy It Now” feature, users agree to complete the transaction once a purchase is confirmed.

Failure to fulfil an order without valid cause is a breach of CHAAMO’s Terms of ServiceThree unfulfilled orders will result in permanent account suspension.

11. Refunds & Funds Disbursement

Refunds must be mutually agreed by both the buyer and the seller and are facilitated by CHAAMO in accordance with platform rules.

Refund requests must be submitted within two (2) days of confirmed delivery. During this period, funds are placed on hold and not released to the seller.

If no refund request is submitted within this timeframe, funds will be released to the seller.

Where a refund is mutually agreed, CHAAMO LTD will process the refund using only the held transaction funds. CHAAMO does not advance funds or facilitate balance top-ups.

If no resolution is reached, the buyer must escalate the matter through PayPal’s dispute resolution process. Funds will remain on hold pending PayPal’s decision.

12. Dispute Resolution

User Disputes: Users must attempt to resolve disputes directly. CHAAMO may assist but is not obligated to intervene.

Legal Disputes: Any dispute between a user and CHAAMO will be governed by the laws of England and Wales.

  • If you are a resident of England or Wales, disputes will be handled in English courts.
  • If you are a resident of Scotland or Northern Ireland, you may choose to bring proceedings in either Scottish, Northern Irish, or English courts.

13. Export Regulation

Users must not export, re-export, or transfer the Application to jurisdictions where it is prohibited. Compliance with all applicable international trade laws is required.

14. Buyer Protection Policy

Buyer Protection is provided as a support mechanism only and does not constitute insurance. CHAAMO does not guarantee reimbursement.

Coverage includes:

• Assistance with loss or damage during courier transit (subject to courier liability limits)
• Assistance with non-delivery or items materially not as described
• Refunds facilitated from held funds where a claim is approved and mutually agreed

Exclusions include:

• Change-of-mind returns
• Damage caused by inadequate seller packaging
• Claims submitted outside required timeframes
• Prohibited or restricted items
• Courier-rejected claims

CHAAMO may review evidence but does not guarantee outcomes.

15. Shipping & Courier Liability

Shipping services are provided by third-party couriers. CHAAMO is not responsible for courier performance, delays, losses, or insurance decisions.

16. Taxes & VAT

Users are responsible for determining and paying any taxes, customs duties, import VAT, or other governmental charges arising from the sale, purchase, or cross-border shipment of goods between users.

CHAAMO may be required by law to charge and collect VAT on certain services it supplies, including platform fees, Buyer Protection, shipping services, and optional services. Where applicable, such VAT is included in the prices displayed.

CHAAMO does not charge VAT on the peer-to-peer sale value of goods between users.

17. Intellectual Property

All CHAAMO trademarks, software, designs, and content are the exclusive property of CHAAMO LTD. Unauthorised use is prohibited.

18. Privacy & Data Protection

CHAAMO processes personal data in accordance with its Privacy Policy and applicable data protection laws, including GDPR.

19. Updates & Modifications

CHAAMO may update the Platform at any time. Failure to install updates may affect functionality.

20. Termination & Enforcement

CHAAMO may suspend or terminate accounts, restrict access, or withhold payouts for breaches of this Agreement, suspected fraud, or unlawful activity.

21. Disclaimer of Warranties

The Platform is provided “as is” and “as available” without warranties of any kind.

22. Limitation of Liability

To the maximum extent permitted by law, CHAAMO shall not be liable for indirect or consequential losses. Total liability shall not exceed fees paid by the user in the previous twelve (12) months.

23. Indemnification

You agree to indemnify and hold harmless CHAAMO from any claims, damages, or losses arising from your use of the Platform or breach of this Agreement.

24. Force Majeure

CHAAMO is not liable for failure or delay caused by events beyond reasonable control.

25. Governing Law & Jurisdiction

This Agreement is governed by the laws of England and Wales.

26. Severability

If any provision is found unenforceable, the remaining provisions remain in effect.

27. Entire Agreement

This Agreement constitutes the entire agreement between you and CHAAMO.
